DISTANCE SALES AGREEMENT

PARTIES
This agreement has been signed between the parties specified below under the terms and conditions stated below.

‘BUYER’; (Hereinafter referred to as the “BUYER”)
‘Üge Tekstil San. Tic. A.Ş.’; (Hereinafter referred to as the “SELLER”)

By accepting this agreement, the BUYER acknowledges and accepts in advance that if the order subject to this agreement is approved, they will be under the obligation to pay the price of the order and any additional fees such as shipping and taxes, if any, and that they have been informed accordingly.

DEFINITIONS
In the implementation and interpretation of this agreement, the terms listed below shall have the following meanings:

MINISTER: The Minister of Customs and Trade
MINISTRY: The Ministry of Customs and Trade
LAW: Law No. 6502 on the Protection of the Consumer
REGULATION: Regulation on Distance Contracts (Official Gazette: 27.11.2014/29188)
SERVICE: Any consumer transaction other than the provision of goods performed or promised in return for a fee or benefit
SELLER: The company that offers goods to the consumer as part of its commercial or professional activities, or acts on behalf of or for the account of the party offering the goods
BUYER: A real or legal person who acquires, uses or benefits from a good or service for non-commercial or non-professional purposes
SITE: The website owned by the SELLER
ORDERING PARTY: The real or legal person who requests a good or service through the SELLER's website
PARTIES: Refers to the SELLER and the BUYER
AGREEMENT: This agreement concluded between the SELLER and the BUYER
GOODS: The movable property subject to shopping and intangible goods prepared for use in electronic form such as software, audio, video, etc.

SUBJECT
This agreement regulates the rights and obligations of the parties pursuant to the provisions of Law No. 6502 on the Protection of the Consumer and the Regulation on Distance Contracts in relation to the sale and delivery of the product specified below, ordered electronically by the BUYER via the SELLER’s website.

The listed and announced prices on the site are the sales prices. These announced prices and promises remain valid until updated or changed. Time-limited prices remain valid until the end of the stated period.

The basic characteristics (type, quantity, brand/model, color, quantity) of the goods/services are published on the SELLER’s website. If a campaign has been organized by the SELLER, the essential features of the relevant product can be examined during the campaign period. Valid until the campaign date.
The listed and announced prices on the site are the sales prices. These announced prices and promises remain valid until updated or changed. Time-limited prices remain valid until the end of the stated period.
The total sales price of the goods or services, including all taxes, is shown below.
The shipping fee, which is the cost of product shipment, will be paid by the BUYER.

MATTERS INFORMED TO THE BUYER IN ADVANCE
The BUYER agrees, declares, and undertakes that before placing the order and before the conclusion of the Agreement, they have been correctly and fully informed of all matters related to the execution and application of this Agreement, including those specified below, and that they have read and understood them through the relevant pages and sections of the Agreement.

  • Basic characteristics of the product/service

  • SELLER’s name or title, MERSIS number or tax identification number, and contact and identifying information

  • Transaction steps for the purchase of the product/service on the site and appropriate tools/methods to correct incorrectly entered information

  • The Professional Chamber (BTSO - Bursa Chamber of Commerce and Industry) to which the SELLER belongs and contact details where its professional conduct rules can be obtained (Phone: 0(224) 275 16 00, https://www.btso.org.tr/)

  • Shipping restrictions imposed by the SELLER for the product/service

  • Accepted payment methods for the product/service and the total price including taxes

  • Procedures regarding the delivery of the product/service to the BUYER and additional costs such as transport and delivery charges

  • Other payment/collection and delivery information and timelines related to the product/service and other contractual performance details and the responsibilities of the Parties

  • Information regarding circumstances in which the BUYER cannot use their right of withdrawal or conditions under which this right will be lost, including non-use within the time limit

  • Conditions, duration, and procedures for using the right of withdrawal when applicable, information about the courier company designated by the SELLER for returns, and all financial issues (return method and cost, refund of the contract amount, and deductions for earned/used reward points)

  • The full address, fax number, or email for sending the withdrawal notice

  • Any deposits or other financial guarantees to be provided or paid by the consumer at the request of the SELLER, and their conditions

  • Any technical protection measures that may affect the functionality of digital content

  • Terms of use for special offers that may be applied on the SELLER’s website periodically

  • Information about the compatibility of digital content with hardware/software if reasonably expected to be known by the SELLER

  • Other sales terms in the Agreement based on its nature and information stating that after approval by the BUYER on the SELLER’s website, the Agreement will be emailed to the BUYER upon request and will be accessible through the BUYER’s account

  • Information that in case of disputes, the BUYER may apply to the Consumer Court or Consumer Arbitration Committee

GENERAL PROVISIONS
The BUYER declares, accepts, and undertakes that they have read the preliminary information about the basic features, sales price, payment method, and delivery of the product subject to this agreement on the SELLER’s website and have provided the necessary confirmation electronically. The BUYER also declares, accepts, and undertakes that before the conclusion of the distance contract, they have received the SELLER's address, basic features of the ordered products, the price including taxes, and all relevant payment and delivery information correctly and completely.

Each product subject to the contract will be delivered to the BUYER or to the person/institution at the address specified by the BUYER within the period specified in the preliminary information on the website, depending on the BUYER's location, not exceeding the legal period of 30 days. In case the product cannot be delivered to the BUYER within this period, the BUYER has the right to terminate the agreement.

The SELLER agrees, declares, and undertakes to deliver the product subject to the Agreement in full, in accordance with the features specified in the order, and if applicable, with warranty certificates, user manuals, and necessary documents, free of defects, compliant with legal regulations and standards, and to perform the job in line with the principles of accuracy and honesty, to maintain and increase the quality of service, to show the necessary care and diligence, and to act with prudence and foresight.

The SELLER may provide another product of equal quality and price before the expiry of its contractual obligations, provided it informs the BUYER and obtains their explicit approval.

If the fulfillment of the product or service subject to the order becomes impossible, and the SELLER cannot fulfill its contractual obligations, it agrees, declares, and undertakes to notify the consumer in writing within 3 days from learning of this situation and to refund the total amount to the BUYER within 14 days.

The BUYER agrees, declares, and undertakes that they will confirm this Agreement electronically for the delivery of the product subject to the Agreement and that if the price of the product is not paid or is canceled in the bank records for any reason, the SELLER's obligation to deliver the product shall cease.

The BUYER agrees, declares, and undertakes that if the credit card of the BUYER is unfairly used by unauthorized persons after the product is delivered to the BUYER or the person/institution at the address indicated by the BUYER, and if the price of the product is not paid to the SELLER by the relevant bank or financial institution, the BUYER will return the product to the SELLER within 3 days, with the shipping costs borne by the SELLER.
